Welcome to TradesDigital.ca. By accessing our website or engaging our services, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully. If you do not agree with any part of these Terms, you should not use our website or services.

1. Definitions

• "Company," "we," "our," or "us" refers to TradesDigital.ca.
• "Services" refers to all digital transformation, automation, CRM, workflow, cloud, analytics, and mobile solutions offered by TradesDigital.ca.
• "Client," "you," or "your" refers to the individual or business entity engaging our services or using our website.
• "Website" refers to tradesdigital.ca and all associated pages.

2. Services

TradesDigital.ca provides digital transformation consulting and technology solutions for Canadian trades professionals. The specific scope, deliverables, timeline, and fees for each engagement will be outlined in a separate Service Agreement or Proposal provided to the Client. These Terms govern all services unless explicitly superseded by a signed Service Agreement.

3. Client Responsibilities

As a Client, you agree to:

• Provide accurate, complete, and timely information necessary for us to perform the Services
• Respond to requests for feedback, approvals, or information within reasonable timeframes
• Maintain the confidentiality of any login credentials or access granted as part of the Services
• Comply with all applicable laws and regulations related to your business

4. Fees and Payment

• Fees for Services are outlined in our pricing page or in the Service Agreement provided to the Client.
• Payment terms are net 15 days from invoice date unless otherwise specified.
• Late payments may result in a temporary suspension of Services until all outstanding balances are cleared.
• All fees are quoted in Canadian Dollars (CAD) unless otherwise stated.

5. Intellectual Property

Upon full payment for Services, the Client retains ownership of all final deliverables created specifically for them, including custom software, configurations, dashboards, and documentation. TradesDigital.ca retains the right to display completed work in our portfolio unless otherwise agreed in writing.

Any third-party tools, platforms, or software used in the delivery of Services remain the property of their respective owners and are subject to their own licensing terms.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the engagement. This obligation survives the termination of the Service Agreement.

7. Limitation of Liability

TradesDigital.ca provides Services on a professional basis, but we cannot guarantee specific business outcomes including but not limited to: operational efficiency gains, cost reductions, revenue increases, or productivity improvements. Results depend on numerous factors outside our control, including adoption rates, existing infrastructure, and market conditions.

To the maximum extent permitted by law, TradesDigital.ca's total liability for any claims arising from our Services shall not exceed the total fees paid by the Client for the specific Service giving rise to the claim.

8. Termination

Either party may terminate a Service Agreement with 30 days written notice. Upon termination, the Client shall pay for all Services rendered up to the effective date of termination. Any deliverables completed prior to termination shall be delivered to the Client upon payment.

9. Website Use

By using our website, you agree not to:

• Use the website for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the website or its systems
• Interfere with the proper functioning of the website
• Copy, reproduce, or distribute any content from the website without our written permission

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts of Vancouver, British Columbia.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.
